You retain ownership of all data you enter into our systems. We do not claim ownership of your business data. You grant us a limited licence to process your data solely for the purpose of providing our services to you.
You can export your data at any time using the export features in our products. If you terminate your account, you may request a data export before closure.
Payment terms are agreed upon before service commencement. For subscription-based products, fees are due at the beginning of each billing period. For custom development projects, payment schedules are specified in individual project agreements.
We reserve the right to suspend services for accounts with overdue payments after providing reasonable notice.
We strive to maintain high availability of our services but do not guarantee uninterrupted access. We may perform scheduled maintenance, which we will communicate in advance when possible. We are not liable for service interruptions due to factors beyond our reasonable control.
Our products, including code, design, documentation, and branding, remain our intellectual property. Your subscription grants you a licence to use our products for your business purposes but does not transfer ownership of any intellectual property.
To the maximum extent permitted by law, Calpex Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
You agree to indemnify and hold harmless Calpex Technologies from any claims, damages, or expenses arising from your use of our services, your violation of these Terms, or your violation of any rights of a third party.
Either party may terminate the service relationship with reasonable notice. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, you may request export of your data within 30 days.
We may update these Terms from time to time. We will notify you of significant changes by posting notice on our website or contacting you directly. Continued use of our services after changes constitutes acceptance of the updated Terms.
These Terms are governed by the laws of Kenya. Any disputes shall be resolved through the courts of Kenya, with Nairobi as the preferred jurisdiction.
